Terms of Service

1. Introduction

Welcome to Osello.com ("we," "our," "us," "Osello," or the "Company"). These Terms of Service ("Terms") govern your access to and use of the Osello.com website and all related services, features, content, and applications (collectively, the "Service").

By accessing or using the Service in any manner, you ("User," "you," or "your") agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, you may not access or use the Service.

2. Description of Service

Osello provides AI-powered solutions for multi-channel product data management, enabling businesses to automatically manage marketplace product listings, fill in eCommerce marketplace and SEO taxonomy categories and attributes, and keep them up-to-date and compliant.

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your account. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we determine violates these Terms or is harmful to other users of the Service, the Company, or third parties, or for any other reason.

4. User Content

4.1 Content Responsibility

Any data, text, graphics, photographs, or other material that you submit, upload, provide, or otherwise make available through the Service ("User Content") is your responsibility. You are responsible for ensuring that you have all rights necessary to submit the User Content and that the User Content does not violate any third-party rights, laws, or these Terms.

4.2 License to User Content

By submitting User Content to the Service, you grant Osello a worldwide, non-exclusive, royalty-free license to use, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content for the purpose of providing and improving the Service.

4.3 Content Removal

We reserve the right, but are not obligated, to remove or refuse to distribute any User Content that violates these Terms or that we otherwise find objectionable.

5. Intellectual Property Rights

5.1 Osello Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Osello and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

5.2 Restrictions

You may not duplicate, copy, or reuse any portion of the HTML, CSS, JavaScript, visual design elements, or concepts of the Service without express written permission from Osello.

5.3 Feedback

If you provide us with any feedback or suggestions regarding the Service ("Feedback"), you assign to us all rights in the Feedback and agree that we shall have the right to use the Feedback in any way we deem appropriate without any obligation to you.

6. Plans, Billing, and Overage Charges

6.1 Subscription Plans

Osello is offered as a subscription service across paid plans (currently Small, Medium, and Large), each billed monthly or annually. Current plan prices, billing intervals, and included limits are published on our pricing page and displayed to you before you subscribe. By subscribing to a paid plan, you agree to the price and billing interval shown at checkout, as they may be updated from time to time under Section 6.8.

6.2 Free Plan

Stores without an active paid subscription are placed on the Free plan automatically. The Free plan is intended for evaluating the Service and includes limited usage allowances. Certain Free plan limits are enforced as hard caps — for example, you may be prevented from connecting an additional marketplace or inviting an additional team member until you subscribe to a paid plan.

6.3 Plan Limits

Each plan includes usage allowances ("Plan Limits") that reset every billing cycle. Plan Limits currently apply to four metrics: live marketplace SKUs, monthly marketplace order volume (GMV), connected marketplaces, and team members. Your billing cycle matches your subscription's billing period; if you do not have an active subscription, your cycle runs month-to-month from the date your store was created. You can view your current usage against each Plan Limit, and when your cycle resets, on the Billing page within the Service.

6.4 Usage-Based Overage Charges

If your usage exceeds a paid plan's Plan Limits, you are not automatically moved to a larger plan, and Osello does not stop your listings or orders. Instead, usage beyond your Plan Limits accrues overage charges, which are added to your next invoice. Overage is charged per metric:

  • Live SKUs — a set dollar amount per SKU over your limit, per day;
  • Monthly GMV — a percentage of the order volume above your limit;
  • Marketplaces and Team members — a set monthly dollar amount per unit over your limit, prorated daily.

Overage rates depend on your subscription plan — higher plans have lower live-SKU and GMV overage rates. The current rates for each plan are published on our pricing page and are shown for your active plan within the Service on the Billing page. Charges described as "prorated daily" accrue only for the days during your billing cycle on which you were over the applicable limit — for example, connecting one marketplace above your limit for 10 days of a 30-day cycle accrues 10⁄30 of the monthly marketplace rate. Because live SKU overage is charged per SKU per day, it can accumulate quickly; where the Service allows, we will show you an estimated overage cost before you take an action that would exceed a limit. Overage charges are calculated by Osello based on your measured usage and billed through our payment processor together with your subscription.

6.5 Billing and Payment Processor

We use a third-party payment processor (currently Stripe) to bill you through a payment account linked to your account. Payment processing is subject to the terms, conditions, and privacy policies of the payment processor, in addition to these Terms. You authorize us and our payment processor to charge your payment method for subscription fees and any accrued overage charges.

6.6 Renewals

For subscription-based services, your subscription will automatically renew at the end of each subscription period unless you cancel it prior to the renewal date. You may cancel or change your plan at any time through the billing portal within the Service; changes take effect as described at the time you make them, and plan upgrades are prorated automatically.

6.7 Taxes

Prices shown do not include taxes unless stated otherwise. You are responsible for any applicable sales, use, value-added, or similar taxes, which may be added to your charges.

6.8 Changes to Pricing

We may change our plan prices, Plan Limits, and overage rates from time to time. For material changes affecting your active subscription, we will provide notice as described in Section 15, and the change will take effect no earlier than your next billing cycle.

6.9 Refunds

Except as required by law, all payments — including subscription fees and overage charges — are non-refundable.

7. Data Privacy and Security

7.1 Privacy Policy

Please refer to our Privacy Policy for information about how we collect, use, and disclose information about users of the Service, including order and customer data we process to sync your orders with connected integrations and marketplaces.

7.2 Data Security

We implement reasonable security measures to protect your information. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

8. Prohibited Conduct

You agree not to:

  • Use the Service in any way that violates any applicable local, state, national, or international law or regulation
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service or any other accounts, computer systems, or networks connected to the Service
  • Use the Service to send unsolicited communications, promotions, or advertisements
  • Use the Service to transmit any malware, viruses, or other harmful code
  • Use automated means, including spiders, robots, crawlers, or data mining tools, to download data from the Service
  • Use the Service to harvest or collect email addresses or other contact information of other users

9. Third-Party Links and Services

The Service may contain links to third-party websites, services, or resources that are not owned or controlled by Osello. We are not responsible for the content or practices of any linked third-party sites. Use of third-party services is subject to their terms and conditions.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. OSELLO AND ITS AFFILIATES, SUPPLIERS, AND LICENSORS DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

OSELLO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. OSELLO DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY OR COMPLETENESS OF THE CONTENT OR THE CONTENT OF ANY SITES LINKED TO THE SERVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OSELLO, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

IN NO EVENT WILL OSELLO'S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICE EXCEED THE AMOUNTS YOU HAVE PAID TO OSELLO FOR USE OF THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100) IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO OSELLO, AS APPLICABLE.

12. Indemnification

You agree to indemnify, defend, and hold harmless Osello, its affiliates, officers, directors, employees, consultants, agents, and representatives from any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your violation or breach of any terms of these Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within Delaware.

14. General Provisions

14.1 Entire Agreement

These Terms constitute the entire agreement between you and Osello regarding the Service and supersede all prior agreements and understandings.

14.2 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Osello's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

14.3 Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

14.4 Assignment

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Osello without restriction.

14.5 Notices

Any notices or other communications provided by Osello under these Terms will be given by posting to the Service or via email to the email address you provide to us.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
